Non-Disclosure Agreement (NDA)
This Non-Disclosure Agreement (“Agreement”) is entered into on [Date] between [Your Name] (“Participant”) and Oratory of Mystical Sacraments (“OMS”).
Participant and OMS agree as follows:
1. Confidential Information: “Confidential Information” shall mean any and all information disclosed by OMS to Participant, whether orally, visually, or in writing, related to OMS’s ceremonies, rituals, events, practices, processes, or any other proprietary information.
2. Non-Disclosure: Participant agrees not to disclose, reveal, or make use of any Confidential Information to any third party, including but not limited to individuals, groups, organizations, or entities, without the prior written consent from the executive director of OMS .
3. Purpose: Participant acknowledges that the Confidential Information is provided to them solely for the purpose of participation in OMS’s ceremonies, rituals, events, or activities, and for no other purpose whatsoever.
4. Duty of Care: Participant agrees to exercise reasonable care to protect the confidentiality of the Confidential Information and to prevent its unauthorized use, disclosure, or dissemination.
5. No Reproduction: Participant agrees not to reproduce or create any derivative works based on the Confidential Information without the prior written consent of OMS.
6. Financial Penalties: In the event of a breach of this Agreement, Participant agrees to pay OMS a financial penalty of $1,000,000 per violation, as liquidated damages, which the parties agree represents a reasonable estimation of the harm that OMS would suffer as a result of such breach.
7. Duration: This Agreement shall remain in effect indefinitely from the date of Participant’s acceptance and participation in any of OMS’s ceremonies, rituals, events, or activities.
8. Return of Information: Upon termination of Participant’s participation in OMS’s activities, Participant shall promptly return to OMS or destroy all Confidential Information in their possession, custody, or control.
9. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of [Your Jurisdiction].
10. Entire Agreement: This Agreement constitutes the entire understanding and agreement between Participant and OMS concerning the subject matter hereof and supersedes all prior or contemporaneous agreements and understandings, whether written or oral.
